As we all know, the European Union has passed directives regarding Waste Electrical and Electronic Equipment ("WEEE") and Restrictions on Hazardous Substances ("RoHS"), which will be effective on or after July 1, 2006. At Aavid, we have undertaken a comprehensive review of all our products, which includes surveying our own Suppliers, with the goal of making certain that they all meet the RoHS limits on the presence of substances banned or restricted by RoHS. We are confident that most of our standard parts already do not contain these substances.

Many of our customers have asked us to complete a variety of Material Declaration or Disclosures in different formats with differing levels of analysis. We understand our obligations to our customers to provide parts that comply with RoHS and other applicable laws. Aavid is today capable of providing compliant parts, and we expect to have all of our parts compliant early in 2006, which should allow our customers time to meet their own compliance obligations.
Since there is no industry standard today for Material Declarations or Disclosures, and because the laws do not specifically address the definition of a Material Declaration, we find it extremely difficult to comply with the numerous and various disclosure documents presented by our customers. In order to respond comprehensively to these requests, our plan is to collect data from our Suppliers to determine the presence of the prohibited substances at component levels. We will then be able to improve our own data base to respond to our customers.
We understand that the "Joint Industry Guide - Material Declaration Composition Guide" will shortly be adopted by the major electrical and electronic equipment manufacturers to provide a uniform approach to RoHS disclosures. We will continue to work toward providing these uniform declarations to our customers shortly after their adoption, which will probably be early in the second quarter of 2006.
In the meantime, we assure you that we believe it to be good policy and good business to protect our environment, and we will work with our customers to comply with the RoHS directives and similar laws. Again, as the attached list shows, most of our parts already comply, and we will continue to move toward a fully compliant standard product offering as this year progresses.
